Securing Shadow AI: 6 Principles from Security Leaders Who've Been There

"Before jumping on those frameworks, you have to take a step back to understand what's happening in your environment," Demann explains. "Jumping on a framework without fully understanding your governance, what people are doing—sanctioned and unsanctioned usage—is taking it a step too quickly."

What this looks like in practice:

  • Implement behavioral analytics to understand how employees interact with AI tools

"You may block it within your corporate environment, but that's not going to stop me from downloading it on my phone or personal device and still using it anyway," Demann points out. "That's why we have to also educate."

  • Provides approved alternatives (like Microsoft Teams recording instead of Otter AI)

#3: Ask the Hard Questions About Data Handling

Vendor promises about data protection mean nothing without technical validation. The Otter AI court case is a perfect example—their website claims they don't use data to train models, yet they're facing legal action for exactly that.

The due diligence checklist:

  • Where exactly is company data stored? Walk through the complete workflow, point to point
  • Is your data used to train or improve AI models, even if "anonymized"?
  • Are there human elements in any decision-making processes?
  • How is your organization's data isolated from other customers' data?

"As a CISO, you have to go in and ask those hard questions," says Demann. "Ask for the workflow, show us the workflow, walk us through point to point."

The harsh reality: "If you look on Otter AI's website, it does say that they don't use data to train models. Obviously there's a bit of a gap between what they actually may have said and what they're doing."

Takeaway: If vendors can't answer these questions clearly, that may not be the tool for your organization at that time.

#4: Think Beyond Security—Address the Intersection

"It's understanding that it's not one or the other—it's not security OR AI OR privacy, it's a combination of both," explains Demann. "If you address your security, your privacy, and the intersection with legal as well, you build good AI governance."

  • Privacy: Consent mechanisms, data minimization, cross-border transfer restrictions
  • Legal: IP protection, regulatory compliance, contractual obligations

Common blind spots: Recording employee conversations without consent (GDPR issues), storing confidential information in non-sanctioned LLMs, cross-border data transfers through AI APIs.

"You don't want something that's going to come in and cause added complexity," Demann emphasizes. "It should tie in with what you're doing. If you're bringing in something that increases complexity for your security staff, then it's not going to be used after a while."
